General Terms & Conditions — Applies to All Spotix Sweepstakes and Giveaways

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN ANY SPOTIX GIVEAWAY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

These Official Rules ("Rules") govern all sweepstakes, giveaways, and similar promotions (each a "Promotion") conducted by Spotix, Inc. ("Sponsor," "Spotix," "we," or "us"), unless a specific Promotion's materials state that different rules apply. Each individual Promotion will have its own promotion-specific details — including the entry period, how to enter, and prize description — published in that Promotion's official announcement (e.g., a social media post, giveaway landing page, or supplemental rules sheet). Those promotion-specific details are incorporated into and governed by these Rules. By entering any Promotion, entrants agree to be bound by these Rules, the promotion-specific details for that Promotion, and the decisions of Sponsor, which are final and binding in all matters relating to the Promotion.

1. Sponsor

Spotix, Inc., ("Sponsor"). Some Promotions may be conducted in partnership with a third-party brand that provides prize product or co-promotes the Promotion (a "Prize Partner"). Where applicable, the identity of any Prize Partner will be disclosed in that Promotion's promotion-specific materials.

2. Eligibility

Each Promotion is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old, or the age of majority in their state of residence, whichever is older, at the time of entry, unless a Promotion's specific materials state otherwise. Void in Puerto Rico, all other U.S. territories and possessions, and where prohibited by law.

Employees, officers, and directors of Sponsor and any Prize Partner, and each of their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and each such individual's immediate family members (spouse, parents, children, siblings) and household members (whether related or not), are not eligible to enter or win.

3. Promotion-Specific Terms

Each Promotion will have its own: entry period (start and end date/time), method(s) of entry, entry limits, and prize description and Approximate Retail Value (ARV). These details will be published alongside the Promotion (for example, in the social post, giveaway landing page, or a supplemental rules document linked from that page) and are incorporated into these Rules by reference. If a conflict exists between these general Rules and a Promotion's specific published details, the Promotion-specific details control for that Promotion only.

Employees, officers, and directors of Sponsor and any Prize Partner, and each of their respective parent companies, subsidiaries, affiliates, advertising and promotion agencies, and each such individual's immediate family members (spouse, parents, children, siblings) and household members (whether related or not), are not eligible to enter or win.

4. General Entry Conditions

  1. Entries must be submitted by the method(s) specified for that Promotion. Entries submitted by any other method, or outside the applicable entry period, are void.
  2. Unless otherwise stated in a Promotion's specific terms, each eligible entrant may earn one (1) base entry per Promotion (e.g., one signup or one qualifying primary action) and may earn one (1) additional entry for each separate qualifying bonus action completed, up to any maximum stated in that Promotion's specific terms. An entrant may not earn multiple base entries, or multiple entries for the same bonus action, by using multiple devices, accounts, or email addresses.
  3. Sponsor reserves the right to disqualify any entry or entrant it believes, in its sole discretion, to involve fraud, automated entry methods, or a violation of these Rules or a Promotion's specific terms.
  4. If a Promotion involves entry through a third-party social media platform, that Promotion is in no way sponsored, endorsed, administered by, or associated with that platform. Entrants release the applicable platform from any and all liability in connection with the Promotion.

5. Winner Selection & Odds

Winners will be selected in a random drawing from among all eligible entries received for that Promotion. The drawing will be conducted by Sponsor or its designated representative within the timeframe specified in that Promotion's specific terms, or if none is specified, within a reasonable time after the entry period ends. Odds of winning depend on the total number of eligible entries received for that Promotion.

6. Winner Notification

The potential winner of each Promotion will be notified using the contact information or account provided at entry, within the timeframe specified in that Promotion's terms. The potential winner may be required to sign and return an affidavit of eligibility, liability release, and (where lawful) publicity release within the timeframe specified for that Promotion. Failure to respond in time, or failure to meet eligibility requirements, may result in disqualification and selection of an alternate winner in Sponsor's sole discretion.

7. Prizes

Prize details and Approximate Retail Value (ARV) for each Promotion will be described in that Promotion's specific materials. Actual value may vary based on market conditions at the time of prize fulfillment. No cash alternative or substitution is permitted except at Sponsor's sole discretion, in which case a prize of equal or greater value may be substituted. Prizes are non-transferable. Winner is responsible for any and all applicable federal, state, and local taxes. Winners of a prize valued at $600 or more will receive an IRS Form 1099 and Sponsor will report such value to the applicable tax authorities as required by law.

8. General Conditions

  1. Sponsor reserves the right to cancel, suspend, and/or modify any Promotion, or any part of it, if fraud, technical failure, or any other factor beyond Sponsor's reasonable control impairs the integrity of the Promotion, as determined by Sponsor in its sole discretion.
  2. Sponsor reserves the right to disqualify any individual it finds, in its sole discretion, to be tampering with the entry process or the operation of a Promotion, to be acting in violation of these Rules, or to be acting in an unsportsmanlike or disruptive manner.
  3. By entering, entrants agree to release and hold harmless Sponsor, any Prize Partner, and each of their respective parents, subsidiaries, affiliates, employees, and agents from and against any claim or cause of action arising out of participation in a Promotion or receipt or use of any prize.
  4. Except where prohibited, by accepting a prize, winner grants Sponsor and any Prize Partner permission to use winner's name, likeness, and statements about the Promotion for advertising and promotional purposes without further compensation, unless prohibited by law.
  5. All Promotions are subject to all applicable federal, state, and local laws and regulations. Where a state's laws impose additional or different requirements, that state's requirements will govern for residents of that state.

9. Data & Privacy

Personal information collected in connection with any Promotion will be used by Sponsor in accordance with the Spotix Privacy Policy, available at https://spotix.com/policies/privacy-policy, and may be shared with a Prize Partner solely for purposes of prize fulfillment and as otherwise described in that policy.

10. Disputes & Governing Law

These Rules and any dispute arising from or relating to a Promotion will be governed by the laws of the State of Iowa, without regard to its conflict of law principles, unless otherwise required by applicable law in the entrant's state of residence.
